We're a small legal-tech / editing team based in Brussels, building tools that make your legal drafting faster, cleaner and easier.

2. What this agreement covers

These Terms apply to your use of the UPLAWD add-in for Microsoft Word (the "Software") and any related updates, documentation or services.

By using UPLAWD, you accept these Terms on behalf of yourself or your organisation.

If you disagree with any part of them, please don't install or use the Software.

3. What you're allowed to do

We give you a personal, non-exclusive, non-transferable licence to use UPLAWD for your professional needs, in line with these Terms and your Microsoft 365 account.

You can install and use the add-in on compatible devices, create documents, and enjoy all the features included in your subscription plan.

You can't:

• • copy, reverse-engineer, decompile or modify the code;
• • resell, redistribute or make UPLAWD available to others without our written consent;
• • use UPLAWD in a way that breaks the law or infringes anyone's rights.

4. Subscription and billing

UPLAWD is available through Microsoft AppSource.

Subscriptions, free trials and billing are handled directly by Microsoft under your account.

• • You get a 30-day free trial.
• • If you don't cancel before the end of the trial, your paid plan will start automatically.
• • You can cancel anytime via your Microsoft account.
• • Cancelling stops renewal — but we don't refund ongoing periods.

Current plans:

• • Early Bird (until March 20 2026): €6.99/month or €69.90/year
• • Lazy Bird (after March 20 2026): €9.99/month or €99.90/year

All prices include VAT where applicable.

5. Updates and improvements

We regularly update UPLAWD to keep it compatible with Microsoft Word and to make it better.

Updates may include bug fixes, new features or performance improvements.

We might change, pause or remove features — but we'll always try to make sure the experience stays smooth.

6. Suspension or termination

You can stop using UPLAWD anytime by uninstalling the add-in or cancelling your subscription.

We may suspend or terminate your access if:

• • you breach these Terms,
• • you misuse the Software or harm its integrity,
• • we're required to by law or a third-party service (like Microsoft).

If we ever end your access for reasons other than a breach, we'll try to give you reasonable notice.

7. Intellectual property

UPLAWD, its design, interface, logo, documentation, and all related IP belong to UPLAWD SRL.

Using UPLAWD doesn't give you ownership of our software or brand — only the right to use it as described here.

All rights not expressly granted remain ours.

8. Data and privacy

UPLAWD does not store, transfer or access your documents.

Everything happens locally in Word or in your Microsoft 365 environment.

We may collect minimal technical data (like anonymized usage stats or error logs or minimal data that you may anonymized when labeling documents in the Add-in) to improve performance and stability — always in line with GDPR and our Privacy Policy.

9. Confidentiality

If, during support or feedback exchanges, you share non-public information with us, we'll keep it confidential and use it only to assist you or improve our services.

10. Disclaimers

UPLAWD is provided "as is" — we do our best, but we can't promise it will be flawless or always available.

We can't guarantee compatibility with every version of Microsoft Word or every local setup.

Using UPLAWD is at your own risk.

Nothing here limits your statutory rights as a consumer, if applicable.

11. Limitation of liability

To the fullest extent allowed by law:

• • we're not responsible for indirect or consequential damages, such as lost data, productivity, or reputation;
• • our total liability is limited to the amount you paid for the current subscription period;
• • we're not responsible for issues caused by Microsoft Word, third-party updates, or your own system.

12. Indemnification

If you use UPLAWD in a way that violates the law or these Terms and it causes harm to us or a third party, you agree to defend and indemnify UPLAWD SRL against related claims or costs.

13. Governing law and jurisdiction

These Terms are governed by Belgian law.

Any dispute will fall under the exclusive jurisdiction of the courts of Brussels, Belgium.

If any part of these Terms turns out to be invalid, the rest stays in effect.

14. Changes to these Terms

We might update these Terms from time to time.

When we do, we'll post the new version on uplawd.eu/terms and update the date at the top.

If the changes are significant, we'll try to let you know beforehand.
